Terms of Use

By accessing or using the Kapaciti platform, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the platform.

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Kapaciti learning platform ("Kapaciti", "we", "us", or "our"), including all courses, exams, resources, certificates, live sessions, and related services offered through the platform.

By creating an account, purchasing tokens, enrolling in a course, joining a live session, or otherwise accessing the platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using the platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Eligibility & Accounts

You must be at least 13 years of age to use the platform. If you are under 18, you confirm that a parent or legal guardian has reviewed and accepted these Terms on your behalf.

  • Accurate Information: When you create an account, you must provide accurate and complete information and keep it up to date.
  • One Account: You may create and use only one personal account, and you must not share your account credentials or access with any third party.
  • Account Security: You are responsible for maintaining the confidentiality of your password and passkeys, and for all activity that occurs under your account. Notify us immediately at support@kapaciti.com if you suspect unauthorised access.
  • Compliance: You must comply with these Terms, all applicable laws, and any additional policies published on the platform.

Any violation of these Terms may result in the suspension or termination of your account.

3. Our License to You

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the platform and the content it provides for your personal, non-commercial learning use. This license is granted solely to enable you to use the services as intended.

Using the platform does not give you ownership of, or any intellectual property rights in, the platform or any content you access. You may not resell, sublicense, redistribute, or commercially exploit any part of the platform or its content without our prior written permission.

4. Course Content & Intellectual Property

All course materials, videos, assessments, resources, text, graphics, logos, and other content made available through the platform ("Course Content") are the property of Kapaciti or its content providers and are protected by Nigerian and international intellectual property laws, including the Copyright Act, Cap. C28, Laws of the Federation of Nigeria 2004.

  • You may not copy, reproduce, distribute, modify, create derivative works from, publicly perform, publicly display, or otherwise use Course Content except as expressly permitted by these Terms.
  • You may not circumvent, disable, or interfere with any technical protections applied to Course Content.
  • You may not scrape, harvest, or systematically download Course Content from the platform.

Your use of the platform does not transfer to you any rights in Kapaciti's name, trademarks, or branding.

5. Your Content

You retain all rights in any content you submit to the platform, including profile information, chat messages, poll responses, questions, exam submissions, and other user-generated content ("Your Content").

By submitting Your Content to the platform, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and otherwise use Your Content solely to provide, operate, and improve the services. This license does not give us any right to sell Your Content.

You represent and warrant that you own or have the necessary rights to Your Content, and that Your Content does not infringe the rights of any third party.

We welcome your feedback and suggestions. By submitting feedback, you grant us the right to use it without restriction and without compensation to you.

6. Prohibited Conduct

You agree not to engage in any of the following activities:

  • Harassment: Harassing, abusing, threatening, intimidating, or discriminating against any user, host, or staff member on any prohibited ground.
  • Impersonation: Impersonating any person or entity, or misrepresenting your affiliation with any person or organisation.
  • Cheating: Attempting to cheat on or fraudulently complete exams, assessments, or certification requirements, or facilitating cheating by others.
  • Unauthorised Access: Attempting to access another user's account, break into any part of the platform, bypass security controls, or test system vulnerabilities without authorisation.
  • Malicious Content: Uploading, transmitting, or distributing malware, viruses, or other harmful code.
  • Illegal Activity: Using the platform for any unlawful purpose or in violation of applicable Nigerian law.
  • Spam: Sending unsolicited messages, advertising, or promotional material to other users.
  • Copyright Infringement: Uploading content you do not have the right to distribute, or redistributing Course Content.

We reserve the right to remove or modify any user content that we believe violates these Terms, and to suspend or terminate access for violations.

7. Live Sessions

Live sessions are interactive, real-time training events between a host and participants. By joining a live session, you agree to:

  • Respectful Conduct: Behave professionally and respectfully toward the host and other participants. A host may remove, mute, or admit participants at their discretion in line with the platform's session controls.
  • No Unauthorised Recording: Not record, capture, screenshot, or redistribute the audio, video, or content of a live session without the host's express permission.
  • No Disruption: Not disrupt the session, transmit offensive or inappropriate content, or engage in behaviour that degrades the experience of other participants.
  • Host Content: Session chat, polls, and questions are visible to the host and, where applicable, to participants of that session, as described in our Privacy Policy.

Kapaciti does not record session audio or video. However, session activity such as chat, poll responses, and attendance may be stored and reviewed by the host.

8. Tokens, Payments & Refunds

Kapaciti uses a token wallet system. Tokens may be purchased using the payment methods made available on the platform and are used to pay for courses, exams, and other services.

  • Payment Processing: All token purchases are processed securely through our payment processor, Paystack. We do not store your card details.
  • Token Value: Tokens are a prepaid platform credit. The number of tokens credited to your wallet is determined by the amount paid, in accordance with the published token rates.
  • No Cash Value: Tokens have no cash value, are non-refundable except as described below, and cannot be exchanged for money, transferred, or gifted.
  • Refunds: Where a refund is required by applicable law, or where a purchase is defective due to a platform error, we will process the refund to the original payment method or as tokens, at our discretion. We may deny refunds where we reasonably believe there is refund abuse, including where content has been substantially consumed before the request.
  • Prices: Token rates and prices may change at any time. Changes apply to future purchases and do not affect the value of tokens already in your wallet.

9. Certificates

Where a course offers a certificate, you may be eligible to receive one upon meeting the published requirements, which may include completing lessons, passing assessments, and satisfying attendance requirements.

  • Certificates are issued in your name as it appears on your account. Keep your profile information accurate.
  • Each certificate carries a unique verification code. Third parties may verify a certificate using that code.
  • We may revoke a certificate if we determine it was obtained fraudulently or in violation of these Terms.
  • Certificates are provided for educational purposes and do not constitute a professional qualification unless expressly stated otherwise on the platform.

10. Suspension & Termination

We may suspend or terminate your access to the platform and your account at our discretion, including where we believe you have violated these Terms, applicable law, or any published policy.

  • In the event of termination for a violation of these Terms, we reserve the right to deny any refund of unused tokens.
  • We will provide you with notice of suspension or termination unless we have reason to believe that providing notice would endanger health or safety, be prohibited by law, or compromise an investigation.
  • You may close your account at any time by contacting support@kapaciti.com. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT COURSE CONTENT IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR PURPOSES. EDUCATIONAL CONTENT IS PROVIDED FOR LEARNING PURPOSES AND DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, OR MEDICAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAPACITI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE THOUSAND NAIRA (NGN 5,000). NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Kapaciti and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the platform.
  • Your Content.
  • Your violation of these Terms or any applicable law.
  • Your violation of the rights of any third party.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

We encourage you to contact us first at support@kapaciti.com to resolve any dispute informally. Any dispute arising out of or relating to these Terms or your use of the platform that is not resolved informally shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Where applicable law requires otherwise, we will not limit rights you have under mandatory provisions of law.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page.
  • Send a notification email to registered users where required.
  • Display a prominent notice on the platform announcing the updated Terms.

Where changes require fresh consent, we will obtain this from you before the changes take effect. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

These Terms were last reviewed and updated on 17 August 2026. Kapaciti reserves the right to update these Terms periodically. Material changes will be communicated via email and/or a prominent notice on the platform at least 30 days before taking effect. Continued use of the platform after such notice constitutes acceptance of the updated Terms.
